1. Introduction

Welcome to VHG Exchange. These Terms of Use constitute a legally binding agreement between you and VHG Exchange (hereinafter referred to as "VHG", "we", "us", or "our") governing your access to and use of the VHG website, services, and applications (collectively, the "Platform").

By accessing or using the Platform, you agree to be bound by these Terms of Use. If you do not agree to these terms, please do not access or use our Platform.

2. Eligibility

To be eligible to use the VHG Platform, you must be at least 18 years old and have the legal capacity to enter into these Terms of Use. By using the Platform, you represent and warrant that you meet all eligibility requirements.

The Platform is not available to residents of regions where cryptocurrency trading is prohibited or restricted by law. It is your responsibility to ensure that your use of the Platform complies with all applicable laws in your jurisdiction.

3. Account Registration

To access certain features of the Platform, you must register for an account. When you register, you agree to provide accurate, current, and complete information about yourself as prompted by the registration form, and to maintain and promptly update such information to keep it accurate, current, and complete.

You are responsible for safeguarding your account credentials and for all activities that occur under your account. You agree to notify VHG immediately of any unauthorized use of your account or any other breach of security. VHG will not be liable for any loss or damage arising from your failure to comply with this section.

4. Services

VHG provides a platform for buying, selling, and trading digital assets. VHG may, at its sole discretion, add or remove support for any digital asset or modify the features and services offered on the Platform at any time.

The Platform may be unavailable from time to time due to maintenance, technical issues, or other reasons. VHG does not guarantee that the Platform will be available at all times or that it will be error-free.

5. Fees

VHG charges fees for certain services provided on the Platform. The current fee schedule is available on the Platform and may be updated from time to time at VHG's discretion. By using the Platform, you agree to pay all applicable fees.

All fees are due immediately and are non-refundable. VHG reserves the right to change the fee schedule at any time. Any changes to the fee schedule will be effective immediately upon posting on the Platform.

6. User Conduct

You agree not to engage in any of the following activities in connection with your use of the Platform:

• Violating any applicable law, regulation, or these Terms of Use;
• Engaging in market manipulation, such as pump and dump schemes, wash trading, spoofing, layering, or other deceptive practices;
• Attempting to access, tamper with, or use non-public areas of the Platform;
• Attempting to probe, scan, or test the vulnerability of the Platform or any VHG system or network;
• Attempting to interfere with any user, host, or network, such as by sending viruses, overloading, flooding, spamming, or mail-bombing;
• Using the Platform for money laundering, terrorist financing, or other illegal activities;
• Impersonating or misrepresenting your affiliation with any person or entity;
• Using the Platform to engage in any activity that could damage, disable, overburden, or impair the functioning of the Platform.

VHG reserves the right to investigate and take appropriate legal action against anyone who, in VHG's sole discretion, violates this section, including suspending or terminating their account and reporting them to law enforcement authorities.

7. Risk Disclosure

Trading digital assets involves significant risk. The prices of digital assets can be extremely volatile and may be affected by factors outside of VHG's control. You should carefully consider whether trading or holding digital assets is suitable for you in light of your financial condition.

By using the Platform, you acknowledge and agree that:

• You are solely responsible for any decisions you make regarding the purchase, sale, or holding of digital assets;
• The value of digital assets can change rapidly and may even become worthless;
• VHG does not provide investment, tax, legal, or other professional advice;
• VHG is not responsible for any loss or damage resulting from your use of the Platform or your inability to access or use the Platform;
• Digital assets are not insured by any government or regulatory body.

8. Intellectual Property

All content, design, graphics, compilation, digital conversion, and other matters related to the Platform are protected by copyright, trademark, and other intellectual property laws and are owned by or licensed to VHG.

You are granted a limited, non-exclusive, non-transferable license to access and use the Platform for your personal, non-commercial use. This license does not include any right to resell or commercial use of the Platform or its contents; any collection and use of any product listings, descriptions, or prices; any derivative use of the Platform or its contents; or any use of data mining, robots, or similar data gathering and extraction tools.

9. Privacy

VHG collects, uses, and discloses your personal information in accordance with our Privacy Policy, which is incorporated by reference into these Terms of Use. By using the Platform, you consent to such collection, use, and disclosure as described in the Privacy Policy.

10. Limitation of Liability

To the maximum extent permitted by law, VHG shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation damages for lost profits, business interruption, or loss of information, arising out of or in connection with your use of the Platform, even if VHG has been advised of the possibility of such damages.

In no event shall VHG's total liability to you for all damages, losses, and causes of action exceed the amount you have paid to VHG in the six (6) months prior to the event giving rise to the claim or $100, whichever is greater.

11. Indemnification

You agree to indemnify, defend, and hold harmless VHG, its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from or relating to your use of the Platform, your violation of these Terms of Use, or your violation of any rights of another.

12. Termination

VHG may terminate or suspend your access to the Platform immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms of Use.

Upon termination, your right to use the Platform will immediately cease. All provisions of these Terms of Use which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

13. Governing Law and Dispute Resolution

These Terms of Use shall be governed by and construed in accordance with the laws of the jurisdiction in which VHG is registered, without regard to its conflict of law provisions.

Any dispute arising from or related to these Terms of Use or the Platform shall be resolved through binding arbitration in accordance with the rules of the relevant arbitration association in the jurisdiction in which VHG is registered. The arbitration shall be conducted in English, and the arbitral award shall be final and binding on both parties.

14. Modifications to Terms of Use

VHG reserves the right to modify or update these Terms of Use at any time, in its sole discretion. VHG will provide notice of material changes by posting the amended terms on the Platform or by other means. Your continued use of the Platform after the effective date of the revised Terms of Use constitutes your acceptance of the revised terms.

15. Miscellaneous

These Terms of Use constitute the entire agreement between you and VHG regarding the Platform and supersede all prior and contemporaneous agreements, proposals, or representations, written or oral, concerning the subject matter.

If any provision of these Terms of Use is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced to the fullest extent under law.

VHG's failure to enforce any right or provision of these Terms of Use shall not be deemed a waiver of such right or provision.
